Thank you for choosing me for your personal and professional coaching needs. I operate a mental health private practice based coaching service that provides guidance (“Coaching Services”) to individuals and businesses in Michigan and beyond.

My goal is to inspire you to maximize your personal and professional potential through a thought-provoking, creative process. We will work together to identify your coaching goals and then develop a strategic plan that will move you toward your goals using proven ideas and solid business principles.

NOW THEREFORE, for good and valuable consideration, including the mutual covenants and premises contained herein, the receipt of which are hereby acknowledged, the parties hereto, intending to be legally bound, agree as follows:

Agreement: Section 1. The Coach/Client Relationship.

We will meet for discussed (frequency of meetings) coaching sessions per month.  These sessions can be conducted in-person, by phone, or by web-based video chatting (Zoom, FaceTime, etc.) (“Coaching Sessions”).  Each Coaching Session will last one (1) to two (2) hours.  You may have projects to complete on your own time in addition to our monthly Coaching Sessions.  We may also communicate via email, text, or phone between our scheduled Coaching Sessions and I may review documents, create reports, and provide other services related to our coaching outside our scheduled Coaching Sessions.  We will work together to determine the best times and places to meet for our Coaching Sessions.  If we are meeting by telephone, I will initiate the call.  If you need to cancel one of our Coaching Sessions, must notify me within twenty-four (24) hours in advance of our appointment.  If you do not provide me with timely notice of your need to cancel, I reserve the right to charge you for the missed appointment.  I will use my best efforts to work with you to reschedule any missed appointments. Note that I cannot and do not guarantee any outcomes or results with respect to the Coaching Services provided under this Agreement. Either of us may terminate this Agreement upon written notice to the other.  You will be responsible for all fees incurred prior to termination as set forth in Section 2 of this Agreement.

Agreement: Section 2.  Fees.

My customary rate for Coaching Sessions is $340 per hour. Payments for monthly clients are due on the same day each month and are payable via PayPal or Credit Card in Kajabi.  Payment for individual sessions is due on the day of service.  You will also be responsible for all additional costs, such as the cost of any books, CDs, DVD, or other materials that we may use as a part of your coaching.  I may also charge you for my time outside our Coaching Sessions to review documents, create reports etc. I will not charge you for any work outside our Coaching Sessions without your prior approval.

Agreement: Section 3.  Confidentiality.

Our coaching relationship and all the information you share with me during our coaching sessions shall remain confidential.  I will not disclose any information that you share with me without your written consent unless I am required to disclose the information by statute, a lawfully issued subpoena, or a valid court order; I believe that there is an imminent risk of danger or harm to you or others, or the information relates to criminal activity.  Information that is not confidential includes information that: is in my possession prior to your disclosure; is generally known to the public or in your industry; I obtain from a third-party, without breaching any obligation to you; or I independently develop without use or reference to any of your confidential information.

Agreement: Section 4.  Miscellaneous Provisions.

This Agreement is binding on both parties hereto and their respective successors and assigns.  This document reflects our entire agreement related to the Coaching Services provided under this Agreement and supersedes all prior written and oral representations made by either of us.  This Agreement may not be amended, altered, or supplemented except in a writing that is signed by both parties.  This Agreement may be signed in counterparts and an electronic signature shall be deemed as an original signature.  If a dispute arises out of this Agreement that we cannot resolve by mutual consent, we agree to attempt good faith mediation for a period of not less than ninety (90) days after notice of the dispute is given.  If the dispute cannot be resolved through mediation, then, in the event of a legal action, the prevailing party shall be entitled to recover all reasonable costs and expenses of the litigation, including attorneys’ fees.  If any provision if this Agreement is held to be invalid or unenforceable, for any reason, such provision shall be deemed to be written, construed, and enforced to the fullest extent allowable by law and the remaining provisions shall continue to be valid and enforceable. The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party’s right to subsequently enforce and compel strict compliance with every provision of this Agreement.
